Terms of Service
Plain-language summary: NeoShield Security is a defensive security lab and toolkit. Use it only on systems, accounts, data, and other assets that you own or are explicitly authorized to assess. AI-assisted features may help with analysis, but their outputs may be incomplete or inaccurate. You remain responsible for reviewing the outputs and for any decisions or actions you take. Paid plans are prepaid access passes and do not renew automatically.
This summary is provided for convenience. The sections below form the Terms of Service. These Terms are not legal advice and should be reviewed by qualified legal counsel for the jurisdictions in which NeoShield Security operates.
1. Acceptance of these Terms
By accessing or using NeoShield Security, you agree to these Terms of Service and any policies referenced in them. If you do not agree to these Terms, do not use the service.
You must have the legal capacity to enter into an agreement. If you use NeoShield Security on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf.
2. Defensive and authorized use
NeoShield Security is intended only for defensive security work, education, analysis, and authorized security assessments. You may use the service only for systems, applications, accounts, data, and other assets that you own or are explicitly authorized to assess.
You are responsible for obtaining and maintaining all permissions required for your use of the service. NeoShield Security may ask you to provide reasonable evidence of authorization before allowing or continuing certain scanning or assessment activities.
3. Acceptable use
- Use the tools only for lawful, defensive, educational, or explicitly authorized purposes.
- Submit only content, files, logs, code, URLs, and other data that you are authorized to analyze.
- Respect applicable usage limits, rate limits, and technical safeguards.
- Review findings and AI-assisted outputs before relying on them or taking action.
- Comply with all laws and regulations applicable to your use of the service.
4. Prohibited use
You may not use NeoShield Security to:
- Attack, scan, test, monitor, or disrupt a system without the owner's explicit authorization.
- Conduct or facilitate denial-of-service activity.
- Access, collect, modify, destroy, or exfiltrate data without authorization.
- Access or attempt to access another user's account, organization, workspace, tools, or data.
- Distribute malware or use the service to develop or improve malicious activity.
- Evade security controls, conceal unauthorized access, or maintain unauthorized persistence.
- Circumvent authentication, rate limits, plan limits, payment controls, or other safeguards.
- Misrepresent your identity, permissions, organization, or authority to conduct an assessment.
- Use automated requests in a manner that harms, overloads, or disrupts the service.
- Use the service for unlawful activity or to facilitate harm to another person or organization.
NeoShield Security may limit or suspend access when reasonably necessary to investigate suspected abuse, protect users, comply with legal obligations, or preserve the security and availability of the service.
5. Accounts and account security
- You must sign in using an email address that you control and are authorized to use.
- You are responsible for protecting access to your email account and active NeoShield sessions.
- You must not share authentication codes or attempt to transfer account access unlawfully.
- You must provide accurate information when creating an account or purchasing a plan.
- You must notify us promptly if you believe your account has been accessed without authorization.
You are responsible for activity conducted through your account unless the activity resulted from a security failure for which NeoShield Security is legally responsible.
6. Plans, billing, and access periods
- A Free plan may be available with usage limits. Paid plans, including Pro, Team, and Founder plans, and any add-on packs, provide higher limits or additional features as described on the /pricingpricing page.
- Prices are displayed in Japanese yen unless otherwise stated. Applicable taxes are included where the pricing or checkout page expressly says that they are included.
- Paid plans are prepaid access passes and do not renew automatically. Access is provided for the period shown at checkout and expires at the end of that period unless you manually purchase another pass.
- There is no automatic recurring charge and no recurring subscription to cancel.
- When a paid access period expires, the account may return to the Free plan. Features, allowances, storage, or history available only under a paid plan may become limited or unavailable.
- Add-on allowances are subject to the limits, validity period, and other conditions shown at the time of purchase.
- Card information is entered through Stripe-hosted checkout. NeoShield Security does not directly receive or store complete payment-card numbers.
Current prices, included features, usage allowances, and access periods are shown on the /pricingpricing page and at checkout. If there is a conflict between general marketing content and the checkout page, the price, plan, and access period clearly displayed and accepted at checkout will apply to that purchase, subject to applicable law.
7. Refunds and payment problems
Except where required by applicable law or expressly stated at the time of purchase, payments for digital services are generally non-refundable after access has been activated or service usage has begun.
We will review requests involving duplicate charges, incorrect payment amounts, payment-processing errors, unauthorized transactions, or a verified service-side failure that materially prevented access to the purchased service.
Nothing in these Terms limits any refund, cancellation, rescission, or other consumer right that cannot legally be limited or excluded. Japan's Consumer Contract Act may invalidate contractual clauses that unfairly harm consumers or improperly exempt a business from liability. To request a review, contact support@neoshieldsecurity.com and include the email address used for the purchase and the relevant Stripe receipt or transaction reference. Do not send complete payment-card information by email.
8. AI-assisted features
Some NeoShield Security features use artificial intelligence to assist with classification, explanation, summarization, code review, security analysis, remediation suggestions, and other defensive tasks.
- AI output may be incomplete, inaccurate, outdated, misleading, or unsuitable for your environment.
- AI output does not constitute a guarantee that a system is secure or free from vulnerabilities.
- AI output does not replace professional security, legal, compliance, or incident-response advice.
- You must apply appropriate human review before relying on AI output or implementing a recommendation.
- You must not submit secrets, personal information, or confidential data unless you are authorized to do so and understand how the relevant feature processes that data.
NeoShield Security does not execute model-authored code on its servers unless a feature expressly states otherwise. AI-generated code, commands, configuration, and remediation suggestions must be reviewed and tested by you in a safe environment before use.
9. Security tools and assessment results
Security tools can reduce risk and help identify potential issues, but no automated or AI-assisted system can identify every vulnerability, threat, misconfiguration, or compromise. Findings may include false positives and false negatives.
NeoShield Security is not a substitute for a manual penetration test, certified audit, professional incident-response service, managed security operations center, or legal and compliance assessment.
10. Customer content
You retain your rights in the content you submit to the service. You grant NeoShield Security a limited right to process that content only as reasonably necessary to provide, secure, maintain, and support the service, subject to the applicable Privacy Notice.
You represent that you have the rights and permissions necessary to submit and process your content. You remain responsible for the legality, accuracy, and appropriateness of that content.
11. Privacy and third-party services
Information about the collection, processing, storage, retention, and deletion of personal information is provided in the /privacyPrivacy Notice.
Certain functionality may depend on third-party service providers, including payment, hosting, email-delivery, and AI service providers. Those providers may process limited information required to deliver their services. Current providers and relevant processing information should be listed in the Privacy Notice or on a designated subprocessor page.
12. Intellectual property
NeoShield Security, including its software, branding, interface, documentation, and service content, is owned by or licensed to the NeoShield Security operator and is protected by applicable intellectual-property laws.
These Terms do not transfer ownership of NeoShield Security or its intellectual property to you. You may not copy, resell, sublicense, or commercially redistribute the service except where expressly permitted in writing or allowed by applicable law.
13. Suspension and termination
You may stop using the service at any time. You may also request account deletion through the available account controls or by contacting us.
NeoShield Security may suspend or terminate access when reasonably necessary because of:
- A material or repeated violation of these Terms.
- Unauthorized, harmful, abusive, or unlawful activity.
- A security risk to users, the service, or third parties.
- A legal or regulatory requirement.
- Non-payment, reversal, fraud, or abuse connected to a paid plan.
Where reasonably possible and legally permitted, we will provide notice and an opportunity to address the issue before termination. Immediate action may be taken when necessary to prevent harm, protect data, preserve service availability, or comply with law.
14. Service availability and changes
NeoShield Security may modify, improve, limit, suspend, or discontinue features as the service evolves. We do not guarantee uninterrupted or error-free availability unless a separate written Service Level Agreement expressly provides otherwise.
Where reasonably possible, we will provide advance notice of a material change that significantly reduces a paid feature during an active access period.
15. Disclaimers
To the maximum extent permitted by applicable law, the service is provided on an "as is" and "as available" basis. NeoShield Security does not warrant that the service will identify every vulnerability or threat, produce error-free results, operate without interruption, or be suitable for every environment or purpose.
Nothing in these Terms excludes or limits a warranty, duty, or consumer protection that cannot legally be excluded or limited.
16. Limitation of liability
To the maximum extent permitted by applicable law, NeoShield Security will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, or data arising from use of the service.
These limitations do not apply to liability that cannot legally be excluded or limited. They also do not exclude liability to the extent caused by fraud, willful misconduct, or gross negligence where such an exclusion is prohibited by applicable law.
Any monetary liability cap should be stated here only after review by qualified legal counsel and after identifying the legal entity that operates NeoShield Security.
17. Changes to these Terms
We may update these Terms to reflect changes to the service, law, security practices, or commercial arrangements. The updated version will display a revised effective date.
If a change materially affects an active paid plan, we will provide reasonable notice through the service or by email where appropriate. Changes will apply prospectively unless applicable law requires otherwise.
18. Governing law and disputes
The governing law, competent court, and legal business operator must be identified here after review by qualified legal counsel. Any governing-law or jurisdiction clause remains subject to mandatory consumer protections that apply to a user.
